These Terms of Service ("Terms") govern your access to and use of the BoxStir platform, website, and services (collectively, the "Service") operated by Twenty6 Red, Inc. ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using BoxStir, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

BoxStir is an AI-powered platform that enables users to upload, index, search, and manage corrugated box CAD die-line files. The Service includes features such as semantic search, visual search, client portals, and team collaboration tools.

3. Account Registration

To use the Service, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Subscription and Payment

BoxStir offers paid subscription plans billed on a monthly basis. By subscribing, you authorize us to charge your payment method on a recurring basis. All fees are non-refundable except as required by law or as otherwise stated in these Terms. We reserve the right to change pricing with 30 days' notice.

Free trials may be offered at our discretion. At the end of a trial period, your account will require a paid subscription to continue using the Service.

5. Your Content

You retain all ownership rights to the files, data, and content you upload to BoxStir ("Your Content"). By uploading content, you grant us a limited, non-exclusive license to process, store, index, and display Your Content solely to provide and improve the Service. We do not claim ownership of Your Content.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload content that infringes on the intellectual property rights of others
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Share your account credentials or allow unauthorized access to your account
• Use the Service to build a competing product or service

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Twenty6 Red, Inc. and is protected by copyright, trademark, and other intellectual property laws. "BoxStir" and associated logos are trademarks of Twenty6 Red, Inc.

8. AI-Powered Features

BoxStir uses artificial intelligence and machine learning technologies to analyze, index, and search your files. While we strive for accuracy, AI-generated results (including search matches, attribute extraction, and similarity scores) are provided on an "as-is" basis and should not be relied upon as the sole basis for business decisions.

9. Data Security

We implement commercially reasonable security measures to protect Your Content. However, no method of electronic storage is 100% secure. You are responsible for maintaining backups of your original files. We are not liable for any loss or corruption of data.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TWENTY6 RED, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. You may cancel your subscription at any time through your account settings. Upon termination, your right to use the Service will cease immediately. We will make Your Content available for export for 30 days following termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
